Terms of Service

By accessing or using Vestly ("the Service"), available at getvestly.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by Brennan [Last Name], a sole proprietor doing business as Vestly, based in Ohio, United States ("we," "us," or "our").

These Terms apply to all visitors, users, and others who access or use the Service.

Vestly is a SaaS financial dashboard designed for solopreneurs, freelancers, and multi-income earners. The Service allows users to:

• Aggregate and track income across multiple sources and platforms
• Estimate net income after platform fees and self-employment taxes
• View income trends and breakdowns over time
• Receive AI-generated financial summaries and insights powered by Anthropic's Claude API
• Connect third-party payment and income platforms via supported integrations

Vestly is a financial organization and visibility tool. It is not a licensed financial advisor, tax preparer, CPA, or legal advisor. Nothing in the Service constitutes professional financial, tax, or legal advice.

To use Vestly, you must:

• Be at least 18 years of age
• Be a legal resident of or operate a business in the United States
• Have the legal authority to enter into a binding agreement
• Not be prohibited from using the Service under applicable law

By using the Service, you represent and warrant that you meet all eligibility requirements.

You must create an account to access the Service. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately at hello@getvestly.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we determine, in our sole discretion, have been compromised or misused.

Vestly offers tiered subscription plans. Billing is processed through Lemon Squeezy, our authorized payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate corresponding to your selected plan.

• Free Tier: Access to core dashboard features with usage limits as described on the pricing page
• Paid Tiers: Expanded features, higher usage limits, and access to AI-powered insights as described at getvestly.com/pricing

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features through the end of the period for which you have already paid.

Refunds: All subscription fees are non-refundable except where required by applicable law or as determined by us in our sole discretion. If you believe you were charged in error, contact us within 14 days at hello@getvestly.com.

Price Changes: We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price increase via email to your registered address. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

You agree to use Vestly only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to engage in fraud, money laundering, or any other illegal financial activity
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools, bots, or scrapers to extract data from the Service without written permission
• Upload or transmit malicious code, viruses, or any software designed to damage or disrupt the Service
• Use the Service to store, process, or transmit data on behalf of third parties as a data processor without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision.

You retain full ownership of all financial data, account information, and content you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process Your Data solely for the purpose of providing and improving the Service.

We do not sell, rent, or share Your Data with third parties for advertising or marketing purposes. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

You are responsible for the accuracy and legality of all data you submit. We are not responsible for errors that result from inaccurate data you provide.

Our infrastructure is hosted on Supabase (database and authentication) and Vercel (application hosting). By using the Service, you acknowledge that your data is stored and processed on these platforms, which maintain their own security and compliance standards.

Certain features of Vestly use artificial intelligence provided by Anthropic's Claude API to generate financial summaries, insights, and recommendations ("AI Content").

You acknowledge and agree that:

• AI Content may contain errors, omissions, or inaccuracies and should be independently verified
• We make no representations or warranties regarding the accuracy or completeness of AI Content
• Your use of AI Content is entirely at your own risk
• Data you submit may be processed by Anthropic in accordance with Anthropic's Privacy Policy

The Service and its original content, features, functionality, design, trademarks, and branding — including the Vestly name, logo, and visual identity — are and will remain the exclusive property of Brennan [Last Name] d/b/a Vestly.

These Terms do not grant you any right, title, or interest in the Service or our intellectual property. You may not use our name, logo, or branding without our prior written consent.

You retain all rights to Your Data. Any feedback, suggestions, or ideas you submit to us may be used by us without compensation or attribution to you.

Vestly integrates with third-party services and platforms to provide core functionality, including but not limited to:

• Supabase — database and authentication infrastructure
• Vercel — application hosting and deployment
• Lemon Squeezy — subscription billing and payment processing
• Anthropic (Claude API) — AI-powered insights and summaries
• Resend / Google Workspace — transactional email delivery
• Stripe — income data integration via Stripe Connect

Your use of these integrations is subject to each provider's own terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services. Links to third-party sites are provided for convenience only and do not constitute an endorsement.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or free of viruses or harmful components
• Warranties regarding the accuracy, reliability, or completeness of any information provided through the Service, including AI-generated content
• Warranties that the Service will meet your specific requirements or expectations

We do not warrant that defects in the Service will be corrected or that the servers that make the Service available are free of viruses or other harmful components.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VESTLY AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including without limitation lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or related to your use of or inability to use the Service.

In no event shall our total liability to you for all claims arising out of or related to the Service exceed the greater of: (a) the total amount you paid to us in the twelve (12) months immediately preceding the claim, or (b) one hundred US dollars ($100.00).

This limitation applies regardless of the legal theory asserted, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Vestly and its owner from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in connection with:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Any data you submit to the Service that is inaccurate, illegal, or that infringes a third party's rights

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if we determine that you have violated these Terms.

Upon termination:

• Your right to use the Service immediately ceases
• We may, but are not obligated to, delete your account data after a reasonable retention period
• Any outstanding payment obligations survive termination

You may terminate your account at any time by canceling your subscription through your account settings and emailing hello@getvestly.com to request account deletion.

Sections 7, 9, 11, 12, 13, and 15 of these Terms shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration in Ohio, in accordance with the rules of the American Arbitration Association, on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Ohio to protect its intellectual property rights.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to your registered email address at least 14 days before changes take effect
• Display a notice within the Service dashboard

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.
